ARTICLE I The name of this organization shall be called the CHARLESTOWNE AREA CIVIC LEAGUE
ARTICLE II OBJECTIVES AND PURPOSE
A. The purpose of this League shall be to encourage participation in all activities that have to do with the civic, social, and cultural betterment of the Charlestowne Area.
B. To uphold the principles of good government and take an active interest in the affairs concerning the Charlestowne Area and the City of Virginia Beach, Virginia.
C. To cooperate with the other organizations engaged in the furthering of civic affairs.
ARTICLE III MEMBERSHIP Any male or female, eighteen (18) years of age or older, residing, paying taxes, or voting in the Charlestown Area is eligible for membership.
The Charlestowne Area Civic League includes the neighborhoods of Charlestowne, Charlestowne Woods, Charlestowne East and Charlestowne Lakes and all of the streets therein:
Charlestowne Woods: Barkading Ct. & Ln, Beaufain Blvd, Coker Ct, Drylie Ct & Ln, Roves Ct & Ln, Styron Ct & Ln, Tuza Ct & Ln
Charlestowne & Charlestowne East: Beaufain Blvd, Citadel Ct, Clearbrook Ln, Legare Ln & Ct., Rutledge Ct & Rd, Society Ct & Ln, Stonehaven Dr & Ln, Wingate Ct & Way, Old Ridge Rd, Warner St.

ARTICLE IV OFFICERS The officers shall be a President, First Vice-President, Corresponding Secretary, Recording Secretary, and Treasurer.
ARTICLE V DIRECTORS The directors shall consist of a minimum of three (3) up to a maximum of six (6) members elected by the membership to serve at the discretion of the membership and the Board of Directors.
ARTICLE VI BOARD OF DIRECTORS
A. The Board of Directors shall consist of ten (10) to thirteen (13) members as

Neighborhood Watch Coordinator
Three (3) to Six (6) Directors
B. The Board of Directors shall meet in February, April, June, October and December.
C. Additional meetings may be called by any member of the Board of Directors.
ARTICLE VII ELECTIONS AND NOMINATIONS
A. The officers and Directors shall be elected by the membership present at the November meeting. A majority vote of the membership present shall elect.
B. There shall be a nominating committee consisting of five (5) members, two (2) to be appointed by the President, and three (3) to be elected by the membership from the floor at the September meeting of the membership.
C. The nominating committee shall present the nominees for officers and directors to the membership at the November meeting. The nominating committee shall first have the acceptance of the nominees to office before presenting their names to the membership.
D. Nominations from the floor may be made at the November meeting.
ARTICLE VIII INSTALLATION OF OFFICERS AND DIRECTORS
A. The officers and directors shall assume their duties immediately following their installation at the January meeting of the membership. The officers and directors shall serve for one (1) year or until their successors are installed in office.
B. Vacancies of officers, (except that of the President,) shall be filled by the Board of Directors and shall serve the unexpired term of those whose office they fill.
ARTICLE IX MEETING
A. The annual meeting of the membership shall be held in January.
B. There shall be five (5) meetings of the membership each year. These meetings shall be held in January, March, May, September and November.
ARTICLE X MEMBERSHIP DUES The membership dues shall be fixed annually by the Board of Directors and shall have the approval of the membership present by majority vote.
ARTICLE XI AMENDMENTS TO THE CONSTITUTION Amendments may be made or changed only after a proposed change has been presented to the Board of Directors in writing and has been read at one (1) membership meeting and delivered in writing to all members at least five (5) days prior to the meeting at which the vote is taken.

2. DUTIES OF THE OFFICERS
A. PRESIDENT: The President shall preside at all business meetings. The President shall appoint all temporary committees and with the Secretary shall attest all documents of the League. He shall be an ex-officio member of all committees. He shall have the authority to approve the payment of all bills, one hundred ($100.00) dollars or less.
B. FIRST VICE-PRESIDENT: Shall preside in the absence of the President and shall also be program chairman.
C. CORRESPONDING SECRETARY: The Corresponding Secretary shall conduct all correspondence of the League and shall notify the Board of Directors of board meetings, shall send out notices of regular membership meetings and any special called meeting that is so instructed by the President.
D. RECORDING SECRETARY: The Recording Secretary shall keep the minutes of all meetings and shall provide the President with a copy of the minutes of said meetings.
E. TREASURER: The Treasurer shall receive all monies and shall deposit in the bank all monies received. The Treasurer shall pay invoices when authorized by the President or Board of Directors. He shall keep a record of the membership and the dues paid by the members. The Treasurer’s signature is to be countersigned by the President or Vice- President or a Director on all checks.
F. DIRECTORS: The Directors shall act as advisors and shall represent the League in all matters as directed by the membership.
3. COMMITTEES
The league shall have the following standing committees:
A. Constitution and By-laws Committee
B. Membership Committee
C. Beautification and Improvement Committee
D. Social Committee
E. Remembrance Committee
F. Special Committees -Shall be appointed by the President at his discretion.
4. MEMBERSHIP DUES
The membership dues shall be twenty ($20.00)dollars per year per family.
5. ATTENDANCE OF MEMBERS
All qualified members of a household in good standing and in attendance at a meeting may vote at said meeting.
6. DISCUSSIONS
All discussions by members shall be limited to three (3) minutes in order to expedite work. This does not apply to written motions, resolutions, amendments of the Constitution or By-laws, or reports of the chairman of committees.
7. VOTING
Voting shall be as directed by the chair except for the elections of the officers and directors as stated in Article 7 of the constitution.
8. EXPENDITURES
All fixed expenditures may be approved and authorized for payment by the President or the Board of Directors. All other expenditures must be submitted to the Board of Directors for their consideration before action can be taken from the floor.
9. SUPERVISION
The Board of Directors shall have general supervision over all affairs of the league.
10. QUORUM
A Majority of the membership present shall constitute a quorum of the league and must be present in order to conduct the business of the league.
11. RULES OF ORDER
The rules contained in (the) “Robert’s Rules of Order Revised” shall govern the League in all cases to which they are applicable.
12. AMENDMENTS TO THE BY-LAWS
Amendments to the By-Laws may be made or changed only after a proposed change in writing has been presented to and approved by the Board of Directors and after receiving an affirmative vote by the majority of the members present at a regular membership meeting.
